Terms of Service
Effective October 22, 2026
Welcome to Shop with MiMi. These Terms of Service ("Terms") are a contract between you and Shop with MiMi. Please read them. We've tried to keep them in plain English.
The short version (the full Terms below are what count):
- Shop with MiMi plans meals, builds a grocery list with Kroger prices, and can add those items to your Kroger cart. You check out and pay for groceries in Kroger's app, not with us.
- It gives general nutrition and fitness information, not medical advice. Always read food labels, especially for allergies.
- After a 7-day free trial (no card needed), it costs $9.99 a month or $79.99 a year, plus any sales tax. Paid plans renew automatically until you cancel. You can cancel any time in Manage subscription, and you keep access until the end of the period you paid for.
- If something goes wrong, contact us first. Most problems can be fixed with an email.
1. Who we are
Shop with MiMi ("Shop with MiMi", "we", "us", "our") is a sole proprietorship based in the Dallas–Fort Worth area of Texas. You can reach us at hello@shopwithmimi.com.
If we later form a company (for example, an LLC) to run Shop with MiMi, we may transfer these Terms and your account to it. We'll tell you if that happens, and these Terms will keep applying.
2. Agreeing to these Terms
By creating an account or using Shop with MiMi (the website at shopwithmimi.com, the app, and MiMi the coach, together the "Service"), you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Service.
3. Who can use Shop with MiMi
- You must be 18 or older and able to make a binding contract.
- The Service is for personal, household use in the United States.
- Children don't get their own accounts. If you add children or teens to your household, you, as their parent or legal guardian, enter their information for them. Only add people you're allowed to share information about.
- One account per person. Keep your password private, and tell us right away at hello@shopwithmimi.com if you think someone else has used your account. You're responsible for activity on your account.
4. What the Service does
Shop with MiMi helps you:
- estimate calorie and protein targets and plan a week of meals for you and your household;
- build a grocery list priced at the Kroger store you choose, and pick a quality tier (for example, organic produce), or copy your list to shop anywhere;
- add the items to your Kroger cart when you ask; and
- save your own recipes (typed, pasted, or read from a photo when that feature is on) and use them in your plans;
- get optional reminders from MiMi as notifications on your phone or computer, if you turn them on; and
- chat with MiMi, the in-app coach, for meal ideas, encouragement and simple movement suggestions.
We may add, change, pause or remove features. If we remove a major paid feature, we'll tell you in advance when we reasonably can.
5. Kroger and your groceries
- We're not Kroger. Shop with MiMi is independent. It is not affiliated with, sponsored by or endorsed by The Kroger Co. Kroger and related names and logos belong to The Kroger Co.
- We're not the seller. We don't sell, deliver or handle groceries. When you send items to your Kroger cart, you review, change and pay for your order in Kroger's app or website, and Kroger's terms and policies apply to that purchase, including pricing, substitutions, delivery, pickup, refunds and returns.
- Prices and stock can change. Store, product, price and availability information comes from Kroger and can be incomplete, out of date or different at checkout. Totals in Shop with MiMi are estimates, not quotes. The price you pay is the one Kroger shows at checkout.
- Check your cart before you pay. Kroger's cart uses the store and pickup or delivery setting saved in your Kroger account, which may differ from what you picked in Shop with MiMi. Always check the store, items, quantities and substitutions before checking out.
- Connecting Kroger is optional. If you connect your Kroger account, you let us add items to your Kroger cart for you. We never see your Kroger password, and we can't check out, place orders or pay for you. You can remove our access in your Kroger account settings, and deleting your Shop with MiMi account deletes the access we stored.
- Instacart and other stores are not available yet. If we add them, we'll update these Terms first.
6. Not medical advice
Shop with MiMi and MiMi provide general nutrition, meal-planning and fitness information for generally healthy adults. This is not medical, nutritional-therapy or mental-health advice, and it doesn't diagnose, treat, cure or prevent any condition. We're not your doctor, dietitian or trainer, and using the Service doesn't create a provider-patient relationship.
- Calorie targets, portions, weight-loss pace, nutrition numbers and exercise calories are estimates and may not fit you.
- Talk to your doctor or a registered dietitian before you change how you eat or exercise, especially if you:
- are pregnant, breastfeeding or trying to become pregnant;
- have or have had an eating disorder or disordered eating;
- have a medical condition such as diabetes, kidney disease, heart disease or high blood pressure, or take medication;
- are planning meals for children or teens (Shop with MiMi never puts kids on a weight-loss diet; follow your pediatrician's advice).
- Stop exercising and get help if you feel pain, dizziness, chest pain or shortness of breath. Movement suggestions are optional, and you choose what's safe for you.
- In an emergency, call 911. If you're struggling with thoughts of self-harm, call or text 988. For eating-disorder support, see nationaleatingdisorders.org.
7. Food allergies
You can tell us about food allergies and foods to avoid for you and your household, and we try to leave matching recipes and products out of your plans and lists. But:
- We can't guarantee that any recipe or product is free of an allergen. Product, ingredient and allergen information comes from third parties, including Kroger. It can be incomplete, out of date or wrong, and manufacturers change recipes and may make foods in facilities that also handle allergens.
- Always read the product label before buying, cooking or eating, every time, and follow your doctor's or allergist's advice.
- Never rely on Shop with MiMi alone to keep anyone safe from a food allergy.
8. MiMi, the coach
MiMi is a software coach, not a person. Her replies come from software we built and, if we turn it on, from a third-party artificial intelligence (AI) service. Reading a recipe from a photo also uses that AI service and is available only when it's on. Recipes read from photos or chat can contain mistakes, so check the ingredients and amounts before you save. MiMi can be wrong, incomplete or out of date. Don't rely on her for medical, allergy, safety or emergency decisions. Use your own judgment, and check anything important with a qualified professional. MiMi is designed never to suggest eating below safe calorie levels, fasting, cleanses or diets for children; if she ever seems to, please ignore it and tell us.
9. MiMi's picks, quality tiers and giving
- MiMi's picks highlight products whose Kroger product information shows third-party certifications (for example, USDA Organic). Picks are based on that data, which can be wrong or change. They're not endorsements, brands don't pay us for them, and we don't rate or criticize brands.
- Quality tiers (Standard, Organic produce, Full quality) depend on what your store carries and may not be available for every item.
- Giving. We've pledged that 25¢ of every paid month goes to fighting hunger in Texas (for yearly plans, 25¢ for each month covered). Donations are made by us from our revenue. They aren't made on your behalf, and they aren't tax-deductible for you. We plan to post a yearly giving report on our Giving page.
10. Free trial, subscription and billing
Free trial. New accounts get a 7-day free trial with full access. No payment card is needed to start. If you don't choose a plan by the end of the trial, paid features (such as new meal plans, grocery pricing, sending to your Kroger cart and coaching) pause. Your saved information stays in your account. One free trial per person.
Plans and prices. After the trial, Shop with MiMi costs $9.99 per month or $79.99 per year, in US dollars, plus any sales tax that applies where you live. The price, the billing period and the tax are shown before you pay.
AUTOMATIC RENEWAL. WHEN YOU CHOOSE A PLAN, YOU AUTHORIZE US (THROUGH OUR PAYMENT PROCESSOR, STRIPE) TO CHARGE YOUR PAYMENT METHOD THE PLAN PRICE PLUS ANY APPLICABLE TAX AT THE START OF EACH BILLING PERIOD, MONTHLY OR YEARLY, UNTIL YOU CANCEL. If you choose a plan during your free trial, your first charge happens when the trial ends. Your plan renews automatically at the end of each period at the then-current price.
How to cancel. You can cancel any time online: sign in, open Your plan, tap Manage subscription, and cancel. You can also email hello@shopwithmimi.com from your account email and we'll cancel for you. Cancellation takes effect at the end of your current billing period. You keep full access until then, and you won't be charged again. To avoid being charged for the next period, cancel before it starts.
Refunds. Because you can try the Service free for 7 days and cancel any time, payments are non-refundable, and we don't give refunds or credits for partly used periods, except where the law requires it. That said, if something went wrong (for example, you were charged after you canceled, charged twice, or couldn't use the Service because of a problem on our side), email us within 30 days of the charge and we'll make it right. We may also give refunds or credits in other cases at our discretion, which doesn't oblige us to do the same again.
Deleting your account. If you delete your account, we cancel your subscription right away and you won't be charged again. Deleting your account doesn't refund the current period unless the refund rules above apply.
Price changes. We may change our prices. If we do, we'll tell you by email or in the app at least 30 days before the new price applies to you. It applies from your next renewal after that notice. If you don't want to pay the new price, cancel before that renewal.
Failed payments. If a payment fails, Stripe may retry it, and paid features may pause until the payment goes through.
Payment processing. Payments are processed by Stripe. Stripe collects and stores your card details; we never see or store your full card number. Stripe's terms and privacy policy also apply to payments.
11. Your information
How we collect, use and protect your information is explained in our Privacy Policy. In short: we don't sell your personal information and we don't show you targeted ads. You can delete your account and its data at any time in the app.
Your content. You own what you enter, such as your profile, household details, your recipes and photos, ratings and messages. Only add recipes and photos you have the right to use. You let us use it only to run, secure and improve the Service for you, as the Privacy Policy describes. If you send us feedback or ideas, we may use them without owing you anything.
12. Acceptable use
Please don't:
- break the law, or use the Service to harm anyone;
- enter information about other people that you're not allowed to share;
- try to get into other people's accounts or our systems, test or break our security, or get around usage limits or the paywall;
- scrape, copy or resell the Service, its recipes or its data, or use bots or automated tools on it (other than normal browser features);
- overload or interfere with the Service, or upload viruses or harmful code;
- use the Service to build a competing product, or to train AI models; or
- misuse MiMi, for example by trying to make her produce harmful, hateful or sexual content.
We may suspend or close accounts that break these rules.
13. Our property
The Service, including its software, design, recipes, text, images and the Shop with MiMi and MiMi names and logos, belongs to us or our licensors and is protected by law. We give you a personal, non-transferable, revocable right to use the Service for your own household while you follow these Terms. You can print or save meal plans and grocery lists for your own household.
14. Third-party services
The Service connects to services run by others, including Kroger (stores, products, prices and your cart), Stripe (payments), our hosting and network providers (Sevalla and Cloudflare), our email provider (Resend), your browser's push service if you turn on notifications and, if enabled, an AI provider. We don't control them and aren't responsible for them. Their own terms and privacy policies apply to how you use them. If a third party changes or stops its service (for example, if Kroger limits its API), some features may stop working.
15. Ending your account
- You can stop using the Service any time and delete your account in the app (Delete account, then confirm with your password).
- We may suspend or close your account if you seriously or repeatedly break these Terms, if we must for legal reasons, or to protect people or the Service. If we close your account without a good reason related to your conduct, we'll refund any prepaid time you haven't used.
- If we ever shut down the Service, we'll give you at least 30 days' notice when we can and refund any prepaid time you haven't used.
- Sections that by their nature should continue (such as 6, 7, 11, 13 and 16 to 20) continue after your account ends.
16. Disclaimers
We work hard to make Shop with MiMi helpful and accurate, but the Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the Service will be uninterrupted, error-free or secure. We also don't promise that nutrition, price, product, stock or allergen information will be accurate or complete, or that you'll reach any health, weight or budget goal. Some states don't allow some of these disclaimers, so some may not apply to you.
17. Limitation of liability
To the fullest extent the law allows:
- we aren't liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data or goodwill, arising from or related to the Service or these Terms; and
- our total liability for all claims related to the Service or these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the event that caused the claim, or (b) $100.
These limits apply to every kind of claim, even if we were told a loss was possible. They don't limit liability that the law doesn't allow us to limit, such as liability for gross negligence, willful misconduct or fraud, or for death or personal injury caused by our negligence where the law doesn't allow a limit. Some states don't allow these limits, so they may not apply to you.
18. Indemnity
If someone makes a claim against us because you broke these Terms or the law, or misused the Service (for example, by entering information about someone you weren't allowed to share), you agree to cover our reasonable losses and costs from that claim, including reasonable legal fees, to the extent the law allows. This doesn't apply to claims caused by our own fault.
19. Resolving problems
Talk to us first. Most problems can be solved quickly. Before you file any claim, email hello@shopwithmimi.com with your name, your account email, what happened and what you'd like us to do. We'll do the same for you. We'll both try in good faith to resolve it within 30 days.
Small claims. If we can't resolve it, either of us may bring an individual claim in small claims court (in Texas, a justice court) if it qualifies.
Other courts. Otherwise, claims must be brought in the state or federal courts located in Tarrant County, Texas, and we both agree to those courts' jurisdiction. If you live outside Texas and your state's law gives you the right to sue where you live, this paragraph doesn't take that right away.
No arbitration. These Terms don't require arbitration.
Time limit. To the extent the law allows, any claim must be brought within two years after it arose.
20. Governing law
These Terms are governed by the laws of the State of Texas and applicable US federal law, without regard to conflict-of-law rules. If you're a consumer, this doesn't take away the protection of any law of your home state that can't be waived by contract.
21. Changes to these Terms
We may update these Terms as the Service changes or the law requires. We'll post the new version here with a new effective date. For important changes, we'll tell you by email or in the app at least 30 days before they take effect. If you keep using the Service after a change takes effect, the new Terms apply. If you don't agree, you can cancel and delete your account before then. Changes don't apply to disputes that arose before the change.
22. Other things
- These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
- If part of these Terms can't be enforced, the rest still applies.
- If we don't enforce a right right away, we can still enforce it later.
- You can't transfer these Terms to someone else. We may transfer them as part of a reorganization, for example to an LLC we form, or a sale of the Service, and we'll tell you if that happens.
- Neither of us is responsible for delays caused by events outside reasonable control, such as outages at our providers or natural disasters.
- We may send you notices by email or in the app. Please keep your account email up to date.
- Headings are only for convenience.
